1. Acceptance of Terms

By accessing or using the services provided by Calyx-Lab ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Calyx-Lab provides managed data annotation services for machine learning and AI applications. We agree to perform the services described in any Statement of Work (SOW) or Order Form executed by the parties.

3. Intellectual Property

Unless otherwise agreed in writing, you retain all rights, title, and interest in and to your data ("Client Data"). We retain all rights, title, and interest in and to our platform, tools, and methodologies.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information disclosed during the term of the agreement. We will not disclose your data to any third party without your prior written consent, except as required by law.

5. Limitation of Liability

To the maximum extent permitted by law, Calyx-Lab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
